VANCOUVER, British Columbia, December 23, 2022 (GLOBE NEWSWIRE) — Asante Gold Corporation (“Asante” or the “Company” CSE:ASE | GSE:ASG | FRANKFURT:1A9 | USOTC:ASGOF) announces the results of its annual shareholders’ meeting (“a meeting“) held on December 21, 2022. At the meeting, all issues that were presented for approval by the management were duly approved and approved, namely:

  • Determining the number of directors at nine (9);
  • The election of directors as proposed in the Company’s information circular dated November 25, 2022 (the “Circular”);
  • Appointment of auditors; and
  • Approval of the amended and restated capital incentive plan.

Detailed voting results are shown below. As the voting results show, the Assembly was represented by a group of shareholders who voted against the election of some of the directors, as well as for the adoption of the amended and reshaped capital incentive plan of the Company. It appears that two of the Company’s directors, despite voting on board business that included acceptance of management’s recommendations for all proposed business, participated in inciting the Company’s stockholders against the business they approved in the Circular.

The company is beginning an investigation into these collection efforts. The company warns that these actions appear to be part of an attempt to take control of the company without paying fair value to other shareholders. Shareholders are cautioned not to take any action regarding matters that may be raised by dissenters who appear to be seeking to promote their own interests over the interests of all Company shareholders.

About Bibiani Gold Mine

Bibiani is a historically significant gold mine located in the western northern region of Ghana, with a previous gold production of more than 4 million ounces. It is fully permitted with available on-site mining and processing infrastructure consisting of a newly refurbished 3 million tonne per annum processing facility and existing mining infrastructure. Mining began at the end of February with the first gold spill announced on July 7, 2022. Commercial production was announced on November 10, 2022.

About the Chirano Gold Mine

Chirano is an open pit and underground mining operation located in the Western Region of Ghana, immediately south of the Company’s Bibiani Gold Mine. Chirano was first explored and developed in 1996 and began production in October 2005. The mine consists of the Akwaaba, Surav, Akoti South, Akoti North, Akoti Extended, Paboase, Tano, Obra South, Obra, Sariehu and Mamnao mines and open Akwaaba Mines and Paboase Underground Mines. Equivalent gold production in 2021 was 154,668 oz on a 100% basis (source Kinross Gold Corporation).
