VANCOUVER, British Columbia, December 23, 2022 (GLOBE NEWSWIRE) — Asante Gold Corporation (“Asante” or the “Company” CSE:ASE | GSE:ASG | FRANKFURT:1A9 | USOTC:ASGOF) announces the results of its annual shareholders’ meeting (“a meeting“) held on December 21, 2022. At the meeting, all issues presented for approval by the management were duly authorized and approved, namely:

  • Determining the number of directors at nine (9);
  • The election of directors as proposed in the Company’s information circular dated November 25, 2022 (the “Circular”);
  • Appointment of auditors; and
  • Approval of the amended and restated capital incentive plan.

Detailed voting results are shown below. As the voting results show, the Assembly was represented by a group of shareholders who voted against the election of some of the directors, as well as for the adoption of the amended and reshaped capital incentive plan of the Company. It appears that two of the Company’s directors, despite voting on board business that included acceptance of management’s recommendations for all proposed business, participated in inciting the Company’s stockholders against the business they approved in the Circular.

The company is beginning an investigation into these collection efforts. The company warns that these actions appear to be part of an attempt to take control of the company without paying fair value to other shareholders. Shareholders are cautioned not to take any action regarding matters that may be raised by dissenters who appear to be seeking to promote their own interests over the interests of all Company shareholders.
